GENERAL TERMS AND CONDITIONS OF SALE

ARTICLE 1 – Purpose

These General Terms and Conditions of Sale (GTC) govern the contractual relationship between VN FACTORY LLP (hereinafter "Wix Factory") and any person (professional or individual) wishing to benefit from the services offered on the website wixfactory.com.
These services include, but are not limited to: website creation or redesign, visual identity creation, search engine optimization (SEO/SEA), online advertising management/consulting, online training or support.
Any order or choice of a service implies the customer's unreserved acceptance of these Terms and Conditions.

ARTICLE 2 – Description of services

Wix Factory offers, among other things:

  • Wix website creation or redesign (showcase, e-commerce, existing site...);

  • creation of visual identity;

  • SEO/SEA/online advertising optimization or management;

  • consulting or support services;

  • online training courses or programs;

  • customized packages / offers (e.g. "VIP", subscriptions, etc.).

The precise details of each service are indicated on the corresponding page, and will be the subject of a quote or an order validated by the client.

ARTICLE 3 – Price / Payment

  • Prices are shown in euros, including all taxes (TTC).

  • Wix Factory reserves the right to change its prices at any time. However, services are billed at the price in effect at the time the order is placed.

  • Payment is made either online, by bank transfer, or any other means indicated during the order or quote.

  • The order confirmation button includes a clear message such as
    "Order with obligation to pay" or equivalent, in accordance with the
    regulations in force.

ARTICLE 5 – Deadlines, commencement and performance of services

  • For website creation/redesign services, a mandatory briefing must be booked within 90 days of the order.

  • If no brief is booked within this period, the client may lose the right to a refund (or their order may be cancelled).

  • Once the project has started, the client must respond to Wix Factory's requests within a reasonable timeframe. If the client remains inactive, the project is paused and may then be abandoned after a certain period (for example, 60 days without any updates) — without a refund.

  • For certain packages (e.g., “VIP”, “subscription”, “support package”): specific conditions (unlimited pages, modification cycles, number of revisions, validity period, etc.) apply as detailed in the offer.

ARTICLE 4 – Acceptance & Conclusion of the Contract

  • The order is final as soon as the customer clicks on the validation button accompanied by the express acceptance of the terms and conditions (checkbox + mention).

  • Any tacit (default) acceptance without a checkbox / explicit consent makes the terms and conditions difficult to enforce.

ARTICLE 7 – Late payments & penalties (business customers)

  • In the event of total or partial non-payment at the due date, the professional client undertakes to pay Wix Factory late payment penalties equal to 1.5 times the legal interest rate.

  • In accordance with the legislation (article L.441-6 of the Commercial Code), a fixed compensation of €40 for recovery costs will also be due as a matter of right.

  • These penalties apply immediately, without prior notice.

ARTICLE 6 – Right of withdrawal / refund / cancellation

  • In accordance with regulations relating to digital content and services, the right of withdrawal may not apply if the customer expressly accepts the start of the service or access to the digital content (online training, deliverables, etc.) before the end of the legal period.

  • For creation/redesign/SEO services: a refund is only possible if the brief never took place and the request is sent by email within 90 days of the order.

  • In the event of interruption of the project (lack of response from the client, failure to provide the elements, etc.) after being paused according to the conditions, no refund or free resumption will be granted — additional fees may be required for restart.

  • For subscriptions: cancellation is possible at any time after the minimum commitment period (if applicable), simply by sending an email request. No refunds will be issued for payments made before the effective end date.

ARTICLE 8 – Invoicing

The invoice is issued in the name of VN FACTORY LLP, a company based in London (UK). If the customer prefers, they can request an invoice issued by a French company — provided they make the request before placing the order.

ARTICLE 10 – Personal Data & Confidentiality

The processing of personal data collected in connection with services or forms is carried out in accordance with the French Data Protection Act (Loi Informatique et Libertés) / GDPR. The client has the right to access, rectify, erase, object to, and transfer their data. The full data management policy is described on the "Privacy Policy" page.

ARTICLE 11 – Applicable Law & Disputes

These terms and conditions are governed by French law when the customer is a private individual residing in France or the European Union. In the event of a dispute, the competent courts will be those of the customer's place of residence, unless otherwise required by law.
In the event of a conflict between these General Terms and Conditions of Sale and the customer's General Terms and Conditions of Purchase (GTC), the incompatible clauses shall be deemed unwritten.

ARTICLE 12 – Acceptance of the General Terms and Conditions

The validation of the order by the customer constitutes full and complete acceptance of these Terms and Conditions, without reservation.

Validity & entry into force

These Terms and Conditions become effective upon their publication on the wixfactory.com website and apply to all orders placed after that date. They may be modified at any time by Wix Factory — the applicable Terms and Conditions are those in effect on the date of the order.
